Minimum Capital Amounts for Joint Stock and Limited Liability Companies Increased

Pursuant to the Presidential Decree numbered 7887 published in the Official Gazette dated 25.11.2023 and numbered 32380, the minimum capital amounts of joint stock and limited liability companies regulated in the Turkish Commercial Code (“TCC”) have been increased. The said decision will enter into force as of 01.01.2024.

In the relevant decision, the minimum capital amounts have been revised as follows;

  • From 50.000 Turkish Liras to 250.000 Turkish Liras for Joint Stock Companies,
  • From 10.000 Turkish Liras to 50.000 Turkish Liras for Limited Liability Companies,
  • For non-public joint stock companies that have adopted the registered capital system, the minimum capital amount has been increased from 100,000 Turkish Liras to 500,000 Turkish Liras.

These minimum amounts will enter into force for joint stock and limited liability companies to be newly established as of 01.01.2024 in accordance with the relevant decision.

Pursuant to the aforementioned decision, the minimum capital amounts do not oblige existing companies to increase their capital, but it is beneficial for companies to increase their capital to the revised amounts in order to strengthen their equity structures.
